Welcome to OnInsights.ai. These Terms of Service (“Terms”) govern your access to and use of the OnInsights.ai application (the “App” or “Service”) made available to merchants.

By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

‍1. Overview of the Service

‍OnInsights.ai provides analytics, reporting, and AI-generated insights using data you authorize through your eCommerce store. The App requires certain API permissions to operate and cannot function without them.

We reserve the right to update, modify, or discontinue any feature of the Service at any time, with or without notice.

‍2. Eligibility & Account Requirements

‍To use OnInsights.ai, you must:
- Be an eCommerce merchant with an active store
- Have the authority to bind the merchant to these Terms
- Install and authorize the App through your eCommerce admin

You are responsible for ensuring the accuracy of the information you provide to us.

‍3. Data Access & Permissions

‍By installing the App, you grant OnInsights.ai access to the data required to provide insights and reporting features, including (as permitted by API scopes):
- Shop metadata
- Products and collections
- Orders (metadata only)
- Customers (light non-sensitive metadata only)

We only access data required to provide the service and do not access sensitive payment data or customer financial information.

Our collection and use of data is described in our Privacy Policy.

‍4. License & Acceptable Use

‍We grant you a limited, revocable, non-exclusive, non-transferable license to use the App solely for your internal business operations.

You agree NOT to:
- Reverse engineer, decompile, or copy the App
- Use the App for unlawful, fraudulent, or harmful purposes
- Use the App in a way that interferes with your platform’s systems or violates policies
- Attempt to access or tamper with data that does not belong to your store

We may suspend or terminate your access for violations of these Terms.

‍5. Fees & Billing
‍OnInsights.ai offers a free plan that provides core analytics and insights at no cost.

You may choose to upgrade to an optional paid plan that provides additional features or enhanced functionality. All pricing and plan details will be clearly displayed in the App Store listing or within the App.

All billing for paid plans is handled through your platform’s billing system.

By upgrading to a paid plan, you agree to pay the applicable charges as outlined in your platform’s billing terms.

Uninstalling the App ends future billing, but previously incurred charges are not refunded unless required by law.

‍6. Availability & Service Levels

‍We strive to keep the Service available and operational, but we do not guarantee:
- Uninterrupted or error-free operation
- Perfect accuracy of insights or AI-generated summaries
- Compatibility with all themes or third-party apps

We may temporarily suspend the Service for maintenance, updates, or technical reasons.

‍7. AI-Generated Insights

‍OnInsights.ai provides analytics and AI-generated summaries based on your store’s data. By using the App, you acknowledge:
- AI insights may not always be accurate
- AI output is for informational purposes only
- You are solely responsible for decisions you make using the App

We disclaim liability for errors arising from AI interpretations or recommendations.

‍8. Intellectual Property
‍OnInsights.ai retains all rights, title, and interest in the App, including software, features, content, and AI models.

You retain ownership of your store’s eCommerce data.

We do not claim ownership over any data retrieved from your store.

‍9. Termination

‍You may terminate these Terms at any time by uninstalling the App from your store.

We may terminate or suspend your access if:
- You violate these Terms
- The App is discontinued
- Revokes required permissions or APIs

Upon termination:
- Your access to the App stops immediately
- We will delete your store’s data in accordance with our Privacy Policy
- Any outstanding charges remain payable through billing

10. Disclaimers & Limitation of Liability

Disclaimers
‍The Service is provided “as is” without warranties of any kind, including accuracy, reliability, or fitness for a particular purpose.

‍Limitation of Liability
‍To the maximum extent permitted by law, OnInsights.ai is not liable for:
- lost profits, revenue, or business opportunities
- any indirect or consequential damages
- errors in AI-generated insights
- downtime or service interruptions

Our total liability for any claim is limited to the amount paid (if any) in the last 30 days of using the Service.

‍11. Indemnification
‍You agree to indemnify and hold harmless OnInsights.ai from any claims or damages arising from:
- your misuse of the App
- your violation of these Terms
- your violation of applicable laws or third-party rights

12. Changes to the Terms
‍We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top.

Continued use of the App after changes constitutes acceptance.

‍13. Governing Law
‍These Terms are governed by the laws of the United States and the State of Texas, excluding conflict-of-law rules.

Any disputes will be resolved in courts located in Texas.
